This is a legal agreement between the individual/organization (“Customer” or “you”) agreeing to the following Terms of Service and the applicable contracting entity i.e. M/s BRUSHLOOM (BRUSHLOOM), at www.brushloom.com (“us,” or “we”). By accepting these Terms, or using the Services, you represent that you have the authority to bind to the Order, these Terms, and the applicable service descriptions as well as the Professional Services provided by us, each as applicable (collectively the “Agreement”).

This website is operated by BRUSHLOOM. Throughout the site, the terms “we”, “us” and “our” refer to BRUSHLOOM. BRUSHLOOM offers this website, including all of the information, tools and services available from our site to you, the user of this site, conditioned upon your acceptance of all terms, conditions, policies and notices that are stated here.

BRUSHLOOM is a proprietorship organization founded with the purpose to allow its customers to explore and buy premium quality hand crafted painting art. BRUSHLOOM (“BRUSHLOOM”, “we” or “us”) respects your privacy. All information provided by you will be treated as private and confidential. That the BRUSHLOOM holds no responsibility of any that the user shares with anyone. BRUSHLOOM takes responsibility for keeping confidential the credentials of the user including Name and Contact information and the same shall not be used for any other business purposes outside the organisation except inter-platform integration like delivery partners, payment gateways etc. The data collected via the website is not visible to the developers and the information is end to end encrypted. By using our Services, you agree not to:

Generate income from the services or its use for development, production or marketing of a service allied to the services provided by us provided such service is a result of the educational training/courses imparted by us which results into a healthy competition and does not amount to any unfair trade practices.

Use the Services in violation of the terms and conditions as mentioned or in order to violates applicable law, including but not limited to anti-spam, privacy, and anti-terrorism laws and any other laws/regulations requiring the consent of subjects of recordings, and You agree that you are solely responsible for compliance with all such laws and regulations.

You must not transmit any worms, trojans, SQL attacks, Cross Site Scripting, Denial of Service, DNS Spoofing, Social engineering techniques, Non-targeted website hacking or viruses or any code of a destructive nature. You must not bait, phish or pretext our clients or anyone through our website, or by impersonating our website or our team in any manner. Any kind of cyber crime against our website will lead to serious consequences in relation to cyber crime.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

6. TAX LIABILITY

In furtherance of the present terms and conditions, in the event of the service provider providing services via the platform of BRUSHLOOM, the tax liability shall be the responsibility of the service provider itself. Even otherwise, at the time of registration, the service provider shall have an option of updating the GST Details on the BRUSHLOOM platform.

7. GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service/products, use of the Service/products, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

In addition to all other remedies available under law and equity and as detailed under this Agreement, we reserve the right to recover the cost of services/products being provided, collection charges, attorney’s charges etc. from a user using the website fraudulently.

We reserve the right to initiate legal proceedings against such persons for fraudulent use of the website/s and any other unlawful acts or acts or omissions in breach of these terms and conditions.

8. ACCURACY, COMPLETENESS AND TIMELINES OF INFORMATION

BRUSHLOOM is not responsible for any accuracy of information as reflected however, the users may reach out to BRUSHLOOM in order to seek permissions for availing its services or buy products. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. BRUSHLOOM does not permit the use of any information or material provided by any user without the authority or consent of BRUSHLOOM. Any such act shall be deemed to be illegal and against the terms of the firm. BRUSHLOOM shall be permissible to take appropriate action as per law in furtherance of the same.

We shall not be liable to the users or to any third-party for any modification, price change, suspension or discontinuance of the Service.

10. SERVICES PROVIDED BY BRUSHLOOM

Services/Products once consumed shall not be refunded. BRUSHLOOM makes every effort to make sure that the services being consumed or the products being purchased are at par with the expectation of the consumers.

We reserve the right, but are not obligated, to limit the sales of our Services/Products to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. All descriptions of services/Products or services/products pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any service at any time. Any offer for any services/products made available on this site is void where prohibited.

We do not warrant that the quality of any services/products, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service/Products will be corrected.

11. SUBSCRIPTION PAYMENTS

Services/Products provided via BRUSHLOOM website are prepaid at the time of consumption of such services or purchase of the products. Services/Products provided by BRUSHLOOM could either be for ‘end users’ who will consume such services/Products, or ‘service provider’ who will provide several services via our platform including but not limited to hand crafted art work, home delivery, etc.

Users are expected to respect the prices set by BRUSHLOOM and do not have the right to challenge or negotiate the prices with BRUSHLOOM.

Fees and Payment You agree to pay all the applicable, undisputed fees for the Services/Products on the terms as mentioned on the invoice. That all payments you make to us for access to the Services are final and non-refundable. You are responsible for all fees and charges imposed and data transmission providers related to your access and use of the Services. You are responsible for providing accurate and current billing, contact and payment information to us or any reseller. You agree that we may take steps to verify whether your payment method is valid and bill you for all amounts due for your use of the Services. You agree that your credit/debit card information and related personal data may be provided to third parties for payment processing and fraud prevention purposes. Our website will not be liable for any credit card fraud. The liability for use of a card fraudulently will be on the user and the onus to 'prove otherwise' shall be exclusively on the user. We may suspend or terminate your services if at any time we determine that your payment information is inaccurate or not current, and you are responsible for fees and overdraft charges that we may incur when we charge your card for payment. We reserve the right to update the price for Services/Products at any time. If you are buying a subscription, the price change will take effect after your initial subscription and price changes will be effective as of your next billing cycle to be paid in advance.

Sales, Promotional Offers, Coupons Sales, promotions and other special discounted pricing offers are temporary and, upon the renewal of your subscription, any such discounted pricing offers may expire. We reserve the right to discontinue or modify any coupons, credits, sales and special promotional offers in furtherance of our change in policies or any other special circumstances.

Disputes: You may notify us regarding any fee dispute within 3 days of the invoice date. We may, on notice to you, suspend or terminate your Services if you do not pay undisputed fees, and you agree to reimburse us for all reasonable costs and expenses incurred in collecting delinquent amounts.

Taxes: You are responsible for all applicable sales, services, value-added, goods and services, withholding, tariffs, fees or any other similar taxes as may be applicable as per the relevant prevailing laws or as imposed by any government entity. That the amount of tax collected, shall be mentioned upon your invoice at the time of payment. In all cases, you shall be liable to pay the amounts due under this Agreement to us in full without any right of set-off or deduction.

If you are a registered service provider through our website, you shall be responsible for delivering quality services and respect T&C defined by BRUSHLOOM

We reserve the right to initiate legal proceedings against such persons for fraudulent use of the application or website/s and any other unlawful acts or acts or omissions in breach of these terms and conditions.

12. ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our website. You agree to promptly update your account and other information, including your contact information and email address, so that we can help in completing your transactions and contact you as needed.

Your Content. You retain all rights over your Content and We do not own or license your Content. We will respect the privacy of our customers and distribution of any personal information outside BRUSHLOOM shall not be done without the consent of such customers. You have the right to

-> Upload or otherwise share Content with us, and

-> Your uploading or processing of your Content does not infringe on any rights of any third party.

-> We will not view, access or process any of your Content, except:

* As authorized or instructed by you in this Agreement or in any other agreement between the parties or

* As required to comply with our policies, applicable law, or governmental regulations. You agree to comply with all legal obligations applicable to you as a data controller by virtue of the submission of your content. If your Content, including any personal data (as defined under applicable law) is processed by us as a data processor acting on your behalf (in your capacity as data controller), we will not use/distribute the personal information of the customer without his/her consent. “Content” may include any contact information or any other information provided by the customer to avail the services from BRUSHLOOM.

Your Accounts. You are solely responsible for

-> All use of the Services by you,

-> Maintaining lawful basis for the collection, use, processing and transfer of Content, and

-> Providing notices or obtaining consent as legally required in connection with the Services. We are not l liable for any loss that you may incur if a third party uses your password or account. We may

suspend the Services or terminate the Agreement if you or your attendees are using the Services in a manner that is likely to cause harm to us. You agree to notify us immediately and terminate any

unauthorized access to the Services or other security breach.

19. INDEMNIFICATION

You shall defend, indemnify and hold harmless BRUSHLOOM and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, from and against all loss, damages, claims and expenses, including but not limited to attorneys fees, in whole or in part arising out of or attributable to:

Your access to or use of or inability to access or use the Service;

Any conduct or content of any third party on the Service;

Any content obtained from the Service; and

Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Any breach of this Agreement by you, any misrepresentation or misuse of the service offered to you or any negligent or unreasonable or inappropriate use of the website or the services.

You acknowledge and agree that this website and any necessary software used in connection with the website contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You acknowledge that the entire website and its contents including the software is owned or duly licensed to M/s BRUSHLOOM and are protected by the Copyright laws in India and under international treaty provisions. All trademarks, service marks, and logos used and displayed on this website are registered to and/or owned by their respective owners. Nothing on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the trademarks, service marks and logos displayed on the Website, without the prior written consent and permission of M/s BRUSHLOOM or the respective owners.

Any distribution, reprint, reselling, piracy or electronic reproduction of any content from this website or our digital products as well as services in whole or in part for any other purpose is expressly and explicitly prohibited without our prior written consent and may amount to civil and/or criminal action against such misuse as per the applicable law. 22. ASSIGNMENT

The customer/user shall not assign its rights or delegate its duties under the Agreement either in whole or in part without the prior written consent of BRUSHLOOM, which shall not be unreasonably withheld. Any attempted assignment without consent will be void. The Agreement will bind and insure to the benefit of each party’s successors or assigns.

23. TERM AND TERMINATION

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

Term The consumers may user the BRUSHLOOM application/website as long as they want and the services may be availed by the users in accordance with the payment required for the same.

Termination Either party may terminate the Agreement

-> Closure of your subscription voluntarily by you for any reason immediately; or

-> BRUSHLOOM may terminate the use of the website/application by any user, at any time if it is so required to be one by an express direction of law.

-> If in our sole judgment the user fails, or we suspect that the user has failed, to comply with any term or provision of these Terms of Service, we also may terminate the use of the website/application of BRUSHLOOM at any time without notice.

Effect of Termination. Neither party will be liable for any damages resulting from termination of the Agreement, and termination will not affect any claim arising prior to the effective termination date.

24. WAIVER

Failure by either Party to exercise any of its rights under, or to enforce any provision of, the Terms and Conditions of BRUSHLOOM will not be deemed a waiver or forfeiture of such rights or ability to enforce such provision.

25. SEVERABILITY
